Content Assignment, Rights Transfer & Release Agreement
Agreement Version: RXV-2026.10.01
Effective Date: The date and time you electronically accept this Agreement and submit or deliver Content.
In plain English: When you send us your video, you’re giving The RxCKSTxR Group LLC ownership of it so we can use it in our videos, shows, TV, streaming, and other projects. You can still keep your original and post it on your own personal social media pages. You promise the video is yours to give and that everyone in it is okay with it being shared. You must be 18 or older to accept. This summary is just to help you understand. The full terms below are the actual Agreement.
This Content Assignment, Rights Transfer & Release Agreement (“Agreement”) is entered into between The RxCKSTxR Group LLC, a Texas limited liability company, together with its successors, affiliates, licensees, and assigns (“RxCKSTxR,” “Company,” “we,” “us,” or “our”), and the individual or entity submitting Content (“Submitter,” “you,” or “your”).
1. Content Covered
“Content” means each video, photo, audio recording, or other material you upload, submit, or deliver to the Company, including the original file and all copies; any title, caption, description, or story you provide; the names and nicknames of any animals shown; and all sounds, performances, and other elements that appear in or are associated with it. This Agreement applies to each submission you make, and each submission is identified by its own Submission ID.
2. Eligibility and Age Requirement
(a) You must be at least eighteen (18) years old, or the age of majority where you live if that is higher, and legally able to enter into contracts to accept this Agreement. A person under that age may not accept this Agreement or submit Content, and a parent or guardian may not accept this Agreement on a minor’s behalf for Content the minor created.
(b) If a minor appears, speaks, or performs in the Content, you represent that you are that minor’s parent or legal guardian, or that you have legally sufficient written authorization from the minor’s parent or legal guardian to grant the rights in this Agreement on the minor’s behalf.
(c) If you are submitting on behalf of a business or other entity, you represent that you are authorized to bind that entity to this Agreement.
3. Assignment of Rights
(a) In exchange for the opportunity to have your Content considered for use, the personal posting license described in Section 6, and other good and valuable consideration, the receipt and sufficiency of which you acknowledge, you hereby irrevocably assign, transfer, and convey to the Company all of your right, title, and interest throughout the world in and to the Content. This includes all copyrights (and all registrations, renewals, and extensions of copyright), all other intellectual property rights, and all rights to bring claims for past, present, and future infringement and to keep any damages or recoveries.
(b) As a result, the Company will have the exclusive right, for any purpose it chooses, to use, reproduce, edit, modify, add voiceovers, music, captions, and effects to, combine with other material, create derivative works from, publicly display, perform, broadcast, stream, distribute, sell, license, sublicense, and otherwise exploit the Content, in whole or in part, in any and all media and formats now known or later developed, throughout the world, in perpetuity. This includes social media, websites, television, streaming, film, podcasts, advertising, promotion, licensing, and merchandise.
(c) The Company may enforce its rights in the Content against anyone, including by filing copyright registrations, takedown notices, and legal claims.
4. Fallback Exclusive License
If any right in the Content cannot legally be assigned to the Company, or if any assignment in this Agreement is found to be ineffective for any reason, you grant the Company an exclusive, irrevocable, perpetual, worldwide, transferable, sublicensable (through multiple tiers), fully paid-up, royalty-free license to exercise that right to the fullest extent permitted by law. To the extent any right can be neither assigned nor exclusively licensed, you irrevocably waive, and agree never to assert, that right against the Company or anyone authorized by the Company.
5. Name, Likeness, and Moral Rights
(a) You grant the Company, and anyone it authorizes, the right to use your name, username, voice, likeness, and biographical information, and those of any person in the Content whom you are authorized to represent, in connection with the Content and its promotion. The Company may also use or withhold credit at its sole discretion.
(b) To the fullest extent permitted by law, you waive any “moral rights,” rights of attribution or integrity, and similar rights in the Content, and you consent to any edit, alteration, or use of the Content that might otherwise violate those rights.
6. Your Personal Posting Rights
(a) After the transfer of rights under this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, royalty-free personal-use license to keep copies of your original Content and to continue posting it on your own personal social media accounts and personal webpages.
(b) Under this personal license you may not: (i) sell, assign, license, or sublicense the Content, or grant any commercial or exclusive rights in it, to any person, company, licensing service, viral-video licensing company, television producer, streaming service, advertiser, distributor, publisher, or other commercial entity; (ii) enroll the Content in Content ID or any other rights-management, claiming, or licensing system; (iii) use the Content in paid advertising, sponsorships, or brand deals; or (iv) file or allow any copyright claim, takedown notice, or dispute against the Company, its licensees, or any authorized use of the Content.
(c) Giving rights in the same Content to another company can create conflicts that jeopardize both your video and the Company’s platforms, television, streaming, licensing, and distribution opportunities. If you are unsure whether something is allowed, contact us first.
7. No Obligation, No Compensation
(a) The Company has no obligation to use the Content, to credit you, or to notify you of any use. The Company may remove or stop using Content at any time, but is not required to do so.
(b) You will not receive any payment, royalty, or other compensation for the Content or its use unless the Company agrees otherwise in a separate written agreement signed by an authorized representative of the Company.
(c) Any ideas, suggestions, or concepts you include with your submission are not confidential, and the Company may use them without obligation to you.
8. Your Promises to the Company
You represent, warrant, and promise that:
(a) you personally created the Content, or you otherwise own all rights in it, and you have the full right and authority to enter into this Agreement and grant every right in it;
(b) you have not previously sold, assigned, licensed, or granted to anyone else any right in the Content that conflicts with this Agreement, including through any viral-video licensing company or content-monetization service, and you will not do so in the future. If you previously granted any such right, you have disclosed it to the Company in writing before submitting;
(c) every person who appears, speaks, or performs in the Content, or whose property or private location is shown, has consented to the Content being shared and used as described in this Agreement, and you have obtained all required permissions, releases, and consents, including parent or legal guardian consent for any minor;
(d) the Content is your original, unaltered recording with its original audio, and it does not contain music, sound recordings, artwork, logos, or other material owned by someone else, except material you have the right to grant under this Agreement;
(e) the Content, and its use as permitted by this Agreement, will not infringe or violate any copyright, trademark, privacy, publicity, or other right of any person, and is not defamatory, obscene, or otherwise unlawful;
(f) no animal was harmed, endangered, or mistreated in creating the Content;
(g) the Company will not need to obtain any other permission or pay anyone in order to use the Content as permitted by this Agreement; and
(h) all information you provide to the Company is true, accurate, and complete, and the Content does not contain viruses or malware.
9. Supplemental Releases and Further Documents
(a) The Company may require additional documentation when reasonably necessary for a particular use of the Content, including appearance releases, parent or legal guardian releases, location releases, music or audio clearances, performer releases, ownership confirmations, copyright assignments, and third-party permissions. You agree to provide and sign these documents promptly when asked, at no additional charge.
(b) If you do not sign a document reasonably requested to confirm or record the rights granted in this Agreement within ten (10) days after the Company’s written request, you appoint the Company as your attorney-in-fact solely to sign and file that document on your behalf. This appointment is coupled with an interest and is irrevocable.
10. Release
You release the Company, its members, managers, employees, contractors, licensees, distributors, successors, and assigns from any and all claims arising from any use of the Content permitted by this Agreement, including claims for copyright infringement, invasion of privacy, right of publicity, defamation, false light, or emotional distress, and you agree not to bring any such claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless the Company, its members, managers, employees, contractors, licensees, distributors, successors, and assigns from and against any claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to (a) any breach of your promises or obligations in this Agreement, or (b) any claim by a third party that the Content, or its use as permitted by this Agreement, infringes or violates that party’s rights.
12. Limitation of Remedies
(a) To the fullest extent permitted by law, the Company’s total liability to you arising out of or relating to this Agreement or the Content will not exceed one hundred U.S. dollars (US $100), and the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages.
(b) If the Company breaches this Agreement, your only remedy will be a claim for money damages, if any. You will not be entitled to stop, restrict, or interfere with the creation, distribution, or exploitation of any production or project that uses the Content, through an injunction or otherwise.
13. Submission Records and Your Information
For each submission, the Company keeps a record that may include your Submission ID; the Agreement version you accepted and a copy of it; your name, email address, and any phone number you provide; the date and time of your electronic acceptance; your original file name; file details and a digital fingerprint (hash) of the file; and any ownership disclosures or releases you provide. The Company uses this information to manage your submission, contact you, verify and document ownership of the Content, and provide proof of rights to licensees, distributors, insurers, and other business partners when needed.
14. Agreement Versions
Each submission is governed by the version of this Agreement in effect when you accepted it, as identified by its Agreement Version number. The Company may publish updated versions for future submissions. An updated version will not change the terms that apply to Content you already submitted unless you accept the updated version for that Content.
15. Electronic Acceptance
By checking the agreement box and submitting or delivering Content, you are electronically signing and accepting this Agreement. You agree that your electronic acceptance is the legal equivalent of your handwritten signature, satisfies any requirement that this Agreement be in writing and signed, and is legally binding. A separate acceptance applies to each submission.
16. Governing Law and Venue
Except to the extent federal law governs a particular issue, this Agreement is governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Except where applicable law requires otherwise, any lawsuit arising from or relating to this Agreement or the Content must be brought only in a state or federal court of competent jurisdiction located in Dallas County, Texas, and you consent to the personal jurisdiction of and venue in those courts.
17. General Terms
(a) Entire Agreement. This Agreement, together with any supplemental release you sign, is the entire agreement between you and the Company regarding the Content and replaces any prior discussions or understandings about it.
(b) Assignment. The Company may assign or transfer this Agreement and any of its rights, in whole or in part, to anyone without notice or payment to you. You may not assign this Agreement.
(c) Severability. If any part of this Agreement is found unenforceable, that part will be enforced to the maximum extent permitted and the rest of this Agreement will remain in full effect.
(d) No Waiver. The Company’s failure to enforce any provision is not a waiver of its right to do so later.
(e) Survival. The assignment, license, release, promises, indemnity, and remedies provisions of this Agreement survive indefinitely.
(f) Relationship. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and the Company.
(g) Headings. Headings and the plain-English summary are for convenience only and do not change the meaning of this Agreement.
